Corporate Governance Manager

About the role

Bank of Baghdad is seeking a Corporate Governance Manager to lead the development, implementation and monitoring of governance policies. The role works closely with the Board, regulatory authorities and internal teams to ensure compliance with Central Bank of Iraq regulations and promote ethical business practices.

Key responsibilities

• Develop, implement and monitor corporate governance policies and procedures in line with local and international regulations.
• Review governance structures, recommend improvements and ensure Board and committee decisions are executed.
• Coordinate with the Central Bank of Iraq and other regulators to maintain compliance.
• Identify, assess and mitigate governance‑related risks, including conflicts of interest.
• Oversee internal monitoring, audit activities and ESG compliance reporting.
• Prepare corporate governance, sustainability and annual reports and track performance indicators.

Required profile

• Bachelor’s degree in Law, Business Administration, Finance, Accounting or related field.
• 2–4 years of experience in corporate governance, compliance, auditing or risk management within banking.
• Strong knowledge of Central Bank of Iraq regulations and corporate governance principles.
• Proven ability to work with regulatory authorities and cross‑functional departments.
